Terms of Service
Draft for legal review. These Terms of Service govern your use of the Gavanti website, Gavanti Match, aircraft sourcing requests and broker subscriptions. Bracketed items must be completed by Gavanti and its counsel before these terms take effect.
1. Agreement
These Terms are an agreement between you and Matteo Gagliano and Jordan Bohn, operating under the name 'Gavanti' ('we', 'us'). By accessing the website, creating an account, submitting an inquiry or sourcing request, or subscribing to a broker plan, you agree to these Terms and our Privacy Policy. If you use Gavanti on behalf of a company, you confirm you are authorised to bind that company. You must be at least 18 years old.
2. Gavanti's role
Gavanti operates an online marketplace and aircraft sourcing platform that displays aircraft offered by independent, third-party brokers, dealers and sellers, and helps buyers identify aircraft suited to their mission. Gavanti is not an aircraft broker, dealer, seller, lender, escrow agent, inspector or operator, does not take title to or possession of any aircraft, and is not a party to any transaction between a buyer and a seller. 3. Aircraft listings
Listings, including specifications, hours, maintenance and program status, equipment, photographs, location, availability and pricing, are supplied by the representing broker or seller, who is solely responsible for their accuracy and for having authority to market the aircraft. Gavanti does not guarantee that any aircraft is accurately described, airworthy, free of liens or damage history, available, or offered at any price shown. "Price Upon Request" listings are priced solely by the representing broker. Model-level specifications and market intelligence are general reference figures and vary by aircraft, configuration and operating conditions.
4. Gavanti Verified
A "Gavanti Verified" status means only that Gavanti completed the limited checks described in our Verification Policy (broker identity, the broker's stated authority to represent the aircraft, and availability when last reviewed). It is not an inspection, airworthiness determination, title search, maintenance audit, valuation or recommendation to purchase.
5. Gavanti Match and sourcing requests
Gavanti Match produces informational suggestions based on the answers you provide and general model data. Results are estimates, not professional advice or a recommendation to buy, and may include models that are not currently listed on Gavanti. When you submit an inquiry, price request or sourcing request, you authorise Gavanti to review it and share it with the relevant broker or with brokers Gavanti reasonably believes may help locate a suitable aircraft. Gavanti does not guarantee that any broker will respond or that a suitable aircraft will be found.
6. Buyer responsibilities
Buyers are responsible for their own due diligence, including independent pre-purchase inspection, records and logbook review, title and lien searches, and legal, tax, insurance, financing and regulatory advice. Any purchase agreement is solely between the buyer and the seller or their representatives. You agree to submit accurate information and to contact brokers only for genuine aircraft interest.
7. Broker responsibilities
Brokers and dealers represent that they are authorised to market each aircraft they submit, that the information provided is accurate and kept current, and that they comply with all applicable laws, including advertising, consumer protection and anti-spam laws. Gavanti administrators publish and manage listings based on information brokers provide and may decline, edit, unpublish or remove any listing at its discretion. Brokers must use buyer contact information received through Gavanti only to respond to that buyer's inquiry.
8. Broker plans, trials and billing
Gavanti offers a Standard plan at no charge, limited to two active listings, and a Dealer plan at US$299 per month with unlimited listings, priority marketplace placement and a Dealer designation. Eligible new brokerages may receive a 15-day free trial of the Dealer plan; a payment method is required to start the trial. Unless cancelled before the trial ends, the subscription converts to a paid monthly subscription and renews automatically each month at the then-current price until cancelled. Payments are processed by Stripe; Gavanti does not store full card numbers. You may cancel at any time through the Manage Subscription link in the brokerage dashboard; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law. Dealer features are activated and adjusted by Gavanti administrators and may take time to reflect a change in subscription status. Gavanti may change plan features or prices with advance notice. 9. Fees and referral arrangements
Buyers are not charged to use Gavanti. Gavanti does not currently charge transaction fees or commissions on aircraft sales. [GAVANTI TO CONFIRM: any referral, success-fee or co-brokerage arrangements; if introduced, they will be disclosed before they apply.]
10. Accounts and acceptable use
You are responsible for your account credentials and all activity under your account. You may not submit false or misleading information or listings; impersonate any person or business; scrape, harvest or bulk-download listings or contact details; send spam or unsolicited marketing; interfere with the security or operation of the website; or use Gavanti for any unlawful purpose.
11. Suspension and termination
Gavanti may suspend or terminate any account, remove content, or restrict access at any time if we believe these Terms have been violated or to protect users, brokers or Gavanti. You may close your account by contacting us. Sections that by their nature should survive termination will survive.
12. Intellectual property and listing photography
The Gavanti name, logo, website design, software, Gavanti Match and compiled market intelligence are owned by Gavanti or its licensors. By submitting photographs, descriptions or other materials, a broker represents that it owns or is licensed to use them and grants Gavanti a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, crop, resize and format them to operate and promote the marketplace for as long as the listing is active and for a reasonable period afterward in archived or promotional materials. 13. Disclaimers
The website and all content are provided "as is" and "as available". To the fullest extent permitted by law, Gavanti disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. Nothing on Gavanti constitutes aviation, airworthiness, maintenance, legal, tax, financial or investment advice.
14. Limitation of liability
To the fullest extent permitted by law, Gavanti will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunity, or for any loss arising from any aircraft, listing, transaction, broker or seller. Gavanti's total liability for any claim relating to these Terms or the website will not exceed the greater of the amounts you paid Gavanti in the 12 months before the claim or US$100. 15. Indemnity
You agree to indemnify and hold Gavanti harmless from claims, losses and expenses, including reasonable attorneys' fees, arising from your use of the website, your listings or content, your transactions with other users, or your breach of these Terms.
16. Governing law and disputes
These Terms are governed by the laws of the State of [GOVERNING STATE], without regard to conflict-of-law rules.
